Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Neutropy website and the Neutropy platform (together, the "Service"), provided by Neutropy Ltd., a company registered in Ireland ("Neutropy", "we", "us"). By using the Service you agree to these Terms.

Production use of the scheduler product is governed by a separate signed Master Services Agreement and Data Processing Agreement between Neutropy and the operating clinic. Where those agreements conflict with these Terms, the signed agreements prevail.

1. Eligibility

You may use the Service only if you can form a binding contract with Neutropy under Irish law and only in compliance with these Terms and all applicable laws and regulations.

2. The Service

Neutropy provides an autonomous operating system for healthcare services through our agentic platform, including AI-driven administrative workflows and patient communications. The product is offered as software-as-a-service; we may update, improve, or modify features over time. Material reductions to functionality covered by a signed agreement will be notified in advance.

3. Your responsibilities

  • Keep account credentials confidential and notify us promptly if you suspect they've been compromised.
  • Use the Service only for lawful purposes and in compliance with the contractual scope agreed with Neutropy.
  • Ensure you have the legal basis (under GDPR Art. 6 and, where relevant, Art. 9) to process the patient data you send to Neutropy.
  • Configure escalation paths and operating-hours rules appropriate to your clinic's risk profile.

4. Acceptable use

You must not (a) reverse engineer, decompile, or attempt to extract the source code of the Service, (b) interfere with or disrupt the integrity of the Service, (c) use the Service to send spam or unlawful communications, or (d) use the Service to provide clinical advice or to make clinical decisions on behalf of regulated professionals. Neutropy is a workflow tool. It is not a substitute for clinical judgement.

5. Data and confidentiality

How Neutropy processes personal data is described in our Privacy Policy and, for production customers, in the Data Processing Agreement. Each party agrees to keep the other's confidential information confidential and to use it only for the purpose of performing under the agreement.

6. Fees

Production use is invoiced under the commercial terms set out in the operating clinic's signed agreement. Use of the marketing website is free of charge.

7. Warranty disclaimer

Other than the warranties expressly stated in a signed Master Services Agreement, the Service is provided "as is". To the maximum extent permitted by law, Neutropy disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Liability

Liability for production use is governed by the signed Master Services Agreement. For use of the marketing website, Neutropy's total liability is capped at one hundred euro (€100). Neither party will be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, except where prohibited by law.

9. Termination

Either party may terminate use of the marketing website at any time. Termination of production use is governed by the operating clinic's signed agreement. Sections that by their nature survive termination (confidentiality, liability, governing law) will continue to apply.

10. Governing law

These Terms are governed by the laws of Ireland. Any disputes will be subject to the exclusive jurisdiction of the Irish courts.
